This Workspace contains confidential and time-sensitive information. By accessing this Workspace you agree to hold and maintain the information contained in strictest confidence. You agree to carefully restrict access to the information contained to employees, contractors and third parties as is reasonably required and shall require those persons to sign nondisclosure restrictions at least as protective as those in this Agreement. The Workspace Administrator reserves the right to update, amend, supplement or otherwise alter the information without notice. You must not distribute the information on this web site to, or cause it to be used by, any person or entity in a place where its distribution or use would be unlawful.
It is understood that this Confidentiality Declaration does not create any duty on the part of Seller to enter into any transaction with the Undersigned regarding the acquisition of the Property or to start or continue negotiations to that purpose.
The Undersigned hereby agrees to keep strictly confidential from third parties and public authorities the start of negotiations on the acquisition of the Property and the status of such negotiations. The Undersigned shall neither inform any third parties about the fact that negotiations concerning the acquisition of the Property have been conducted nor shall the Undersigned disclose the content of such negotiations without the prior written consent of Seller. In case of any inquiries of third parties concerning the negotiations the Undersigned shall not comment on such negotiations without the prior written consent of Seller. In any case that the Undersigned is required by law to disclose these negotiations to third parties or to authorities, you shall immediately notify us thereof in writing as soon as such disclosure requirement has come to your attention.
All information and documentation on the Property and its business made available to the Undersigned by Seller or made available by our advisors (hereinafter referred to as the “Information”) shall be confidential.
You understand that Seller has endeavored to include in the Information those materials which Seller believes to be reliable and relevant for the purpose of your evaluation, but you acknowledge and agree that the Information cannot contain all relevant information for any of your the determinations and decisions regard of the Transaction. You acknowledge and agree that neither Seller nor any of their directors, officers or employees, agents or outside advisors (the directors, officers or employees, agents or outside advisors of either Seller or the Undersigned depending on the context, hereinafter referred to as the “Representatives”), including, without limitation have an obligation, whether presently or in the future, to review the completeness and correctness of the Information, to update or to correct inaccuracies in the Information or to submit further Information. You acknowledge that neither of these persons accepts any responsibility for or does make any representation or warranty, express or implied, as to the truth, accuracy, completeness or reasonableness of any Information. Save for any liability for fraud, and unless otherwise stated in any written agreement for the Transaction entered into, neither Seller nor its respective Representatives, including, without limitation, shall be liable to you or any other person in respect of information contained in the Information, its use or any conclusions made on its base.
The Undersigned undertakes to keep strictly confidential any Information of whatsoever nature, not only written Information but also such transferred orally, visually, electronically or by other means, not to disclose Information to third parties and not to utilize, employ, exploit or in any other manner whatsoever use the Information for its own purposes, in particular for competitive purposes. The Undersigned shall only use the Information for the purposes of evaluating the acquisition of the Property.
The Undersigned is only entitled to pass on Information to the management and to those employees and/or advisors (having a professional duty of confidentiality) that are directly engaged with the evaluation process and are listed in the attachment to this Confidentiality Declaration and, only with the prior written consent of Seller, to third parties with whom the Undersigned co-operates in connection with the negotiations. In any such case, the Undersigned is fully responsible that such person(s) abide(s) by and comply with the terms and conditions of this Confidentiality Declaration.
Upon request of Seller, and automatically after any breaking off or termination of the negotiations, the Undersigned shall return and deliver to Seller all Information received within ten business days, and shall not keep any copies or store any electronic files containing such Information. The Undersigned will destroy all documents that have been prepared based on the Information. The termination of our negotiations and the return and/or the destruction of written information or documents shall not relieve the Undersigned from the duty to keep confidential the Information.
Upon the breach of the Undersigned and/or your Representatives of its obligations under this Confidentiality Declaration, the Undersigned will automatically, without the need to serve notice of the need of a court order, forfeit to Seller a penalty in the amount of EUR 100,000 (one hundred thousand Euros) per breach, all without prejudice to Seller’s right to recover the actual damages.
You understand that monetary damages would not be a sufficient remedy for any breach of this Agreement by you and/or your Representatives, and you hereby in advance agree that Seller and any of its Representatives shall be entitled to specific performance and/or injunctive relief as a remedy for any such breach. Such remedy shall not be deemed to be the exclusive remedy for any such breach of this Agreement but shall be in addition to all other remedies available. You further agree that no failure or delay by the Seller and/or its Representatives in exercising any right, power or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege under this Agreement. In addition, you agree to indemnify Seller and its respective Representatives, including, without limitation, for and against any and all liabilities, damages, costs and expenses (including attorney and court fees) arising from a breach of and any other non-compliance with this Agreement by you and/or your Representatives.
This Confidentiality Declaration is governed by the Laws of the Netherlands. All disputes arising out of or in connection with this Confidentiality Declaration (or related or subsequent agreements or amendments thereto), including disputes on its conclusion, binding effect, amendment and termination, shall be submitted to the exclusive jurisdiction of the competent Court(s) of Amsterdam the Netherlands.
